These Terms of Service ("Terms") govern your access to and use of OutfitterAI services, including the intelligence platform, play library, coaching services, and any related tools (collectively, the "Service"), operated by OutfitterAI ("we," "us," or "our").

By creating an account, enrolling in the pilot program, or using the Service in any way, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

OutfitterAI provides business intelligence analysis for field service businesses in the trades. The Service ingests business data you provide, analyzes it against a network benchmark dataset, and delivers monthly briefings, play recommendations, and coaching support. The Service is designed for business use by owner-operators and their authorized team members.

2. Accounts and Eligibility

You must be at least 18 years old and authorized to enter into binding agreements on behalf of the business you represent. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

3. Pilot Program

OutfitterAI may offer a free pilot period ("Pilot") to qualifying businesses. During the Pilot:

• Access to the Service is provided at no charge for the Pilot period (typically 90 days).
• You agree to provide honest feedback and submit monthly data exports as described during onboarding.
• At the end of the Pilot, continued access requires enrollment in a paid plan. There is no automatic charge — you will receive a clear offer before any billing begins.
• OutfitterAI reserves the right to end the Pilot at any time with reasonable notice.

4. Subscription and Payment

Paid plans are billed monthly. Pricing is as displayed on our pricing page at the time of enrollment. You may cancel at any time; cancellation takes effect at the end of the current billing period. OutfitterAI does not offer refunds for partial billing periods except where required by applicable law.

5. Your Data

You retain all ownership of the business data you provide to OutfitterAI. By submitting data, you grant OutfitterAI a limited license to process, analyze, and store that data for the purpose of delivering the Service. Data handling is governed by our Privacy Policy, which is incorporated into these Terms by reference.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Attempt to reverse-engineer, copy, or resell the Service or any component of it.
• Submit data belonging to another business without authorization.
• Interfere with the operation of the Service or its underlying infrastructure.
• Use outputs from the Service to train or build competing products.

7. Play Library and Outputs

Plays, briefings, and other outputs generated by the Service are provided for your business use. OutfitterAI grants you a non-exclusive, non-transferable license to use these outputs internally. You may not distribute, sell, or sublicense Service outputs to third parties.

Plays and recommendations are provided for informational and strategic purposes. They do not constitute legal, financial, accounting, or professional advice. Results will vary by business and are not guaranteed.

8. Intellectual Property

The OutfitterAI platform, play library, benchmark methodology, and all related software and content are owned by OutfitterAI and protected by applicable intellectual property laws. These Terms do not transfer any IP rights to you beyond the limited license described above.

9. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service, and to use such information only as necessary to perform under these Terms.

9a. SMS / Text Message Communications

If you provide a phone number to OutfitterAI (via a recorded sales conversation, a web form, or any other supported channel), you authorize OutfitterAI to send you SMS messages from our business number(s) regarding your inquiry, demo, trial, or account. Specifically:

• Program description: "Outfitter AI Sales & Account Communications" — 1-to-1 messages from sales and account staff covering pricing, demo scheduling, follow-up after sales conversations, account notifications, trial reminders, and support replies.
• Frequency: Variable based on engagement; typically 0–4 messages per week.
• Cost: Standard mobile carrier message and data rates may apply. OutfitterAI does not charge for SMS we send.
• Opt-out: Reply STOP (or UNSUBSCRIBE / CANCEL / END / QUIT) at any time to stop messages. You will receive one confirmation message and then no further messages from this program. Reply START or UNSTOP to opt back in.
• Help: Reply HELP for help, or contact eric@getoutfitter.ai / (763) 910-4545.
• Number sharing: OutfitterAI does not share, sell, rent, or distribute your phone number or SMS opt-in to any third party for marketing purposes. Numbers are shared only with telecommunications service providers (e.g., Twilio) strictly to deliver SMS on our behalf, under data-processing agreements.

10. Disclaimers

The Service is provided "as is" and "as available." OutfitterAI makes no warranties, express or implied, regarding the accuracy, completeness, or fitness for a particular purpose of any analysis, recommendation, or output. Business outcomes depend on many factors outside our control.

11. Limitation of Liability

To the maximum extent permitted by law, OutfitterAI's total liability to you for any claims arising under these Terms shall not exceed the total fees paid by you to OutfitterAI in the three months preceding the claim. OutfitterAI shall not be liable for any indirect, incidental, consequential, or punitive damages.

12. Termination

Either party may terminate these Terms at any time. You may terminate by canceling your account. We may terminate or suspend your access if you violate these Terms or if we discontinue the Service. Upon termination, your license to use the Service ends immediately.

13. Governing Law

These Terms are governed by the laws of the State of Minnesota, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Hennepin County, Minnesota.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or via the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
